The Legal Documentation and Covenant Control Team is part of ITO CTM Transversal under Global Banking. The Team verifies, stores, and monitors legal documentation and covenants for Corporate Clients’ credit facilities.
In detail
- Verify all required Legal Documentation are received, includes verification against the logging location performed by the relevant team within Credit Transaction Management. Upload and maintain documents into the internal legal documentation database.
- Monitor and update the legal doc/covenant related tracking log.
- Participation in the response to various audits, including Internal and External audits as well as Regulatory Reviews
- Input/validate and monitoring covenants for financing products.
- Prepare monthly notification to account officers for Security Interests searches and continuations.
- Prepare, file and track Security Interests
- Review of Legal Documentation for potential Notes to be Pledged to the Federal Reserve (BIC) and safekeeping of docs
- Review and distribution of daily and monthly Covenants default and exception reports, as well as additional reports as required.
- Respond to legal document and file requests and any questions relating thereto.
- Monitor input and release of stock certificates in the vault
- Reconcile documentation, covenant and guarantee exceptions and defaults within ITO CTM and business line
- Log, index, file and archive documentation in bank systems
- Investigate and respond to subpoena searches requested by the legal department
- Maintain strong communications and partnerships within ITO CTM, Risk and business partners.
- Participate in cross training to improve knowledge, contributions and synergies between teams.
- Identify ways to improve and create process efficiencies.
- Assist in the training of new team members.

The Strengths And Skills That Will Help You Succeed
– Bachelor or equivalent
– 2-3 years relevant experience specializing in corporate banking documentation and/or documentation control experience in a commercial bank.
– Strong written and verbal communication skills
– Analytical and detail oriented
– Ability to work independently and prioritize multiple tasks, work under time pressure constraints and to take ownership for the completion of tasks.
– Ability to exercise good judgment in dealing with unforeseen circumstances while maintaining compliance with established policies and controls.
– Experience in middle office and/or operations environment preferable
– Experience with reading/working legal documents, an asset.
- Given the vast majority of our clients, both internal and external, are based outside of Quebec and Canada, specific language requirements may apply. Knowledge of the English is required.
